As a CitiesUnlocked City Partner ("Operative"), you are granted exclusive editorial rights for a single city node. No other partner will be assigned to your city as long as your agreement is in good standing. Your role is to provide original, accurate, and regularly updated insider intel about your city's venues, events, and experiences.
You retain authorship of all content you submit. By submitting content, you grant CitiesUnlocked a perpetual, irrevocable, worldwide, royalty-free license to publish, distribute, and adapt your content on the Platform. You warrant that your content is original, does not infringe third-party rights, and does not contain false or defamatory information.
Partners receive a percentage of net membership revenue generated by their city node, as agreed in your individual Partner Contract. Revenue share percentages are tiered based on content volume, quality ratings, and member retention metrics. Payments are made monthly via bank transfer or PayPal, with a minimum payout threshold of $50 USD. Detailed statements are provided via the Partner Dashboard.
All submitted content must be: • Original and based on first-hand knowledge or verified sources • Free from commercial bias (no paid placements without disclosure) • Accurate at the time of submission • Updated promptly when venues close, change hours, or materially change • Written in the editorial tone consistent with CitiesUnlocked's brand voice CitiesUnlocked reserves the right to edit, reject, or remove any content that does not meet these standards.
Partners agree not to create or contribute to competing insider city intelligence platforms targeting the same city node during the term of this agreement and for 6 months thereafter. Blogging, social media activity, and journalism are permitted provided they do not constitute a directly competing service.
Partners agree to keep confidential all non-public information about CitiesUnlocked's technology, business model, member data, and other partners. You may not disclose member names, emails, or usage data under any circumstances.
Either party may terminate the partnership with 30 days' written notice. CitiesUnlocked may terminate immediately for: content fraud, breach of confidentiality, reputational harm, or legal violations. Upon termination, revenue share ceases and previously published content may remain on the Platform under the license granted in Section 2.
Partners are independent contractors, not employees. CitiesUnlocked is not liable for any claims arising from partner-submitted content. Partners indemnify CitiesUnlocked against any third-party claims resulting from their content or conduct. Partners carry no authority to bind CitiesUnlocked in any contractual or legal commitment.
This agreement is governed by the laws of Mexico. Disputes shall be resolved through good-faith negotiation, and if unresolved, through binding arbitration in Mexico City.
